Sammendrag
I denne oppgaven analyserer jeg motivasjonen for delisting av selskaper foretatt av Private Equity-fond i
Skandinavia. Totalt er 33 selskaper identifisert i perioden 2007 – 2017 for Oslo Børs, OMX Stockholm og
OBX Copenhagen som igjen er matchet med et sammenlignbart selskap. Hensikten er å identifisere ulike
karakteristikker ex ante ved å undersøke kapitalstruktur og skatt, agentkostnader og undervurdering. Jeg har
hentet ut både regnskapsmessige og finansielle variabler samt variabler tilhørende eierstruktur som blir
analysert ved bruk av univariate og multivariate metoder.
Mine resultater støtter klassisk teori om at privatiserte selskaper har høy fri kontantstrøm. Videre
kjennetegnes selskapene av en høyere gjeldsgrad og eierskapskonsentrasjon, som motstrider teori om
gjeldens disiplinerende effekt samt betydningen av skatteskjold, og agentkostnader i form av manglende
overvåkning og kontroll (gratispassasjerproblemet). Resultatene finner en sterk signifikant ikke-lineær
sammenheng mellom styrets eierandel og privatiserte selskaper. I selskapene som privatiseres har styret
enten en relativt lav eller relativt høy aksjepost. Dette støtter agentteori om målkongruens. På den andre
siden finner jeg ikke noen tilsvarende sammenheng for eierskap hos ledelsen.
Jeg finner ingen støtte for teori om at delistede selskaper er undervurderte eller at selskaper som
privatiseres betaler mer i skatt. In this thesis, I analyze the motivation for delisting of companies by Private Equity funds in Scandinavia. I have identified a total of 33 companies in the period 2007–2017, for stock exchanges Oslo Børs, OMX Stockholm and OBX Copenhagen. These are again matched with comparable companies. The purpose is to identify different characteristics ex ante, by investigating capital structure and taxes, agent costs and undervaluation. I have gathered variables related to accounting, financing and ownership structure, and analyzed them using univariate and multivariate methods.
The results support the traditional theory that privatized companies have higher free cashflow. Furthermore, the companies are characterized by a higher debt rate and ownership concentration, which contradicts theories of the disciplinary effect of debt and the significance of tax shields, as well as agent theory’s control hypothesis (the free-rider problem). The results show a strongly significant, non-linear connection between the board’s ownership rate and the likelihood of a company going private. In privatized companies, the board holds either a relatively low or a relatively high number of shares. This supports the incentive realignment theory as well as the entrenchment effect. On the other hand, I have in my thesis not found any corresponding connection for management ownership.
My results do not support the undervaluation hypothesis, nor that privatized companies pay higher taxes.
